This is all I could find as a manual, and it does not show all the
BIOS screens.

On my motherboard, I have a section in the BIOS called Advanced:ACPI_Configuration
and this setting might control the "waking at midnight".

RTC Alarm Power On [Disabled]

The hardware device being used, is described here. The real time
clock (RTC), inside the ICH7 Southbridge, has alarm registers for setting
a wakeup time. At one time, wakeup registers were controlled by a
time set in a BIOS screen. Now, Windows controls the wakeup time,
and if you use Control Panels:Scheduled Tasks, that is likely to
be the thing setting a wakeup time. If no Scheduled Task is set,
then the RTC alarm should not be enabled.

It could be, that a BIOS update could also fix the problem, if for example
the wake up function was being enabled by accident during the computer
boot process. But on the MSI web page for the 945GCM478 board, the BIOS
release notes make no mention of correcting such a problem.

I would start by looking in the BIOS setup screens, in the section
that controls "waking" sources, and see if there is an RTC
entry which can be disabled.

Check any "wake on" events on your motherboard. Some have LAN wake on events, all kinds of crazy stuff found in there if you dig. On some motherboards I will find them hidden in a whole different menu from the front bios screen!!

Dont have this mobo myself. But your looking in the right direction I think there's a wake on event turned on somewhere in yo bios.
