S2735-8M and Xeon 3.2GHz not agreeing

I hae a many Tyan S2735-8M . Recently I obtained a
3.2GHz !MB Cache .

One one board it was in POST and just stopped between 0GB and 1GB.

Stop as in turned itself off.

Replaced with a similar MB and no POST.

I am using a Coller MAster fan.

Pointers please to what is not working correctly.
